Surety insurance: what should the beneficiary know if the premium is unpaid?

Henrique Vasconcelos finds an unpaid-premium notice in his company’s surety insurance file. He thinks only about the debt owed to the insurer. Clara Mota adds another question: who benefits from the guarantee and what notice is required? This fictional story does not describe an issued guarantee or an actual default.

THE ESSENTIALS

Before you start

  • The debtor taking out insurance and the guarantee beneficiary have different roles.
  • Without a non-opposability clause, the law provides for notice to the insured beneficiary.
  • The statutory period relates to the due date, rather than a guaranteed extra month after a letter.

A rule concerning the guarantee beneficiary

Article 164(1) of Portugal’s insurance contract regime states that, in surety insurance without a non-opposability clause, the insurer must notify the insured of the policyholder’s failure to pay the premium or instalment. Its purpose is to allow the insured beneficiary to pay the amount owed if they wish to avoid termination.

The provision preserves other legal rules it identifies. Do not apply only the general phrase “unpaid means finished” without identifying the contract and this specific framework. Nor should unpaid premiums be treated as irrelevant: money is owed and continuation of the guarantee may be at issue.

What non-opposability means here

Paragraph 2 defines this as a contractual clause preventing the insurer, for a specified period, from invoking invalidity or termination of the policy against the insured beneficiary. The period is part of the definition and needs to be read in the actual clause.

Do not confuse it with a promise of a perpetual guarantee or with “on first demand”. Those are different questions for the guarantee wording. This guide addresses notice concerning an unpaid premium; it does not decide the conditions for calling the guarantee or whether the guaranteed obligation exists.

The premium due date is essential

Article 164 refers to payment within a period not exceeding 30 days in relation to the due date. It does not justify automatically counting an additional 30 days from whenever somebody reads a letter. Request a notice identifying the due date, amount, applicable deadline and contractual basis.

Henrique creates a sheet identifying the policyholder, insured beneficiary, guarantee reference and dates. Even in a business with financial reserves, scattered information can create a management problem. Clara suggests obtaining written confirmation of the status rather than declaring the guarantee either terminated or valid based only on the notice found.

What to do

1. Identify the policyholder, beneficiary and specific guarantee; do not treat them as the same party.

2. Find any non-opposability clause and the period it addresses.

3. Check the amount and due date and request written clarification of the deadline and policy status.

4. Forward the notice through the policy’s process promptly. For a new surety policy, request a quote with the obligation and required wording; acceptance is not automatic.
